MagReTech LLC Terms and Conditions of Sale

These terms and conditions apply to all proposals, quotations, acknowledgments and invoices submitted by MagReTech, LLC (“Seller”) for the sale of Products. SELLER’S PROPOSALS ARE EXPRESSLY MADE CONDITIONAL ON BUYER’S ASSENT TO THESE TERMS.

Invoicing and Pricing

All prices in U.S. Dollars. Payment terms are net 30 days following shipment. Maximum interest rate permitted by law assessed for overdue invoices.

Acceptance

Buyer must give written notice of defects within five (5) days of receipt or Products are deemed accepted.

Delivery

Products delivered EXW Seller’s facility (Incoterms 2020). Risk of loss passes to Buyer upon delivery to carrier.

Limited Warranty

Products shall conform to accepted specifications. Seller’s sole remedy obligation is to replace nonconforming Product or issue credit. THE FOREGOING WARRANTIES ARE EXCLUSIVE. SELLER NOT LIABLE FOR INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Seller’s aggregate liability shall not exceed the amount paid for Products giving rise to the claim.

Governing Law

This Agreement is governed by the laws of the State of Ohio. Disputes subject to arbitration in Bellevue, Ohio under AAA commercial arbitration rules.
